These terms are an agreement between you and Digileads Marketing LTD, a company registered in the United Kingdom (“Verbolica”, “we”, “us”), for the use of Verbolica at app.verbolica.com and the services described at verbolica.com (the “Service”). If you use the Service for a company or agency, you accept these terms for it and confirm you may do so. Questions: help@verbolica.com.

1. The Service

Verbolica is a platform marketing agencies and businesses use to plan, write, design, publish and report on marketing for the brands they manage. Some features use artificial intelligence and some connect to services you choose, such as WordPress, Google, Meta and social networks.

2. Accounts and workspaces

You must give accurate information, keep your login secure, and be at least 18. You are responsible for what happens under your account and in your workspace, including the people you invite. An agency may give its clients access to their own brands; the agency is responsible for those users.

3. Your content and your clients’ data

You keep all rights in the content and data you put into Verbolica or create with it (“Your Content”). You give us permission to host, process and display Your Content only to provide and support the Service.

When you add information about your clients or their customers, you are responsible for having the right to do so. For that information you are the controller and we process it on your behalf, as set out in our Privacy Policy.

4. AI-generated content

Content, designs, images and recommendations produced by Verbolica’s AI features are drafts to help you. AI can be wrong, incomplete or similar to material elsewhere. You are responsible for reviewing anything before you publish or rely on it, including that it is accurate, lawful and does not infringe anyone’s rights. Verbolica publishes only when you or a member of your workspace publishes, schedules or approves it, or under automation you have switched on for a brand.

5. Plans, credits and billing

6. Acceptable use

You must not use the Service to: break the law or anyone’s rights; publish material that is misleading, defamatory, hateful or infringing; send spam; access accounts or data that are not yours; attack, overload, or reverse-engineer the Service; or get around limits, credits or security. We may suspend accounts that do.

7. Connected services

When you connect WordPress, Google, Meta, social networks or other services, your use of them is also governed by their terms, and you authorise Verbolica to act in them as you direct (for example, to publish a post or change a Google Ads budget you approve). We are not responsible for those services or for changes their providers make. You can disconnect them at any time.

8. Our rights

We own the Service, the software and Verbolica’s brand. These terms give you a right to use the Service while your subscription is active, and nothing more. If you send us feedback, we may use it freely.

9. Availability and changes to the Service

We work to keep the Service available and secure, but it may sometimes be unavailable, for example for maintenance or because of a provider we rely on. We may change or remove features; if we remove a feature you are paying for, we will tell you in advance.

10. Ending

You can stop at any time (see section 5). We may suspend or end your access if you seriously or repeatedly break these terms, or do not pay. Content you published to your own website or channels stays there. When your account ends we delete Your Content from Verbolica within 30 days, apart from records we must keep by law; tell us before then if you need a copy of anything.

11. Liability

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Otherwise, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or data, and our total liability to you in any 12 months is limited to the fees you paid us in the 12 months before the claim. The Service is provided “as is”, and except where the law says otherwise we do not promise any particular result, such as rankings, traffic or leads.

12. Indemnity

You will cover our reasonable losses arising from Your Content, from your use of connected services, or from your breach of these terms.

13. Privacy

How we handle personal information, including Google user data, is set out in our Privacy Policy.

14. Changes to these terms

We may update these terms. If a change materially affects you, we will tell you at least 30 days before it takes effect; continuing to use the Service after that means you accept it.

15. Law and disputes

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, though you may also have rights under the law where you live.
